1 NAME
The name of the orchestra is the Ilkley New Horizons Concert Orchestra, which throughout the constitution will be termed “the orchestra”.
2 OBJECTS
2.1 To promote, improve, develop and maintain public education in, and appreciation of, the art and science of music in all its aspects, by the presentation of public concerts and recitals, and by such other ways as the orchestra, through its committee shall determine from time to time.
2.2 To make grants and donations for such other charitable purposes or charities as may, from time to time be thought fit.
3 OFF1CERS
3.1 The minimum number of officers shall be Chairman, Secretary and Treasurer.
3.2 The officers shall be elected at the Annual General Meeting to hold Office for the period of one year.
3.3 Nominations must be received by the Secretary at least two days before the A.G.M.
3.4 The orchestra shall have the power to elect a President and a Vice-president at the A.G.M.
4 DIRECTOR OF MUSIC AND ORCHESTRAL LEADER
4.1 These shall he nominated annually by the committee, or at any other time should the need arise, and confirmed by a general meeting.
4.2 The A.G.M. shall have power to grant an honorarium to the Director of Music.
5 MANAGEMENT
5.1 The control and management of the orchestra shall be vested in a committee which shall comprise the officers, Director of Music, and a minimum of two members elected annually at the A.G.M
5.2 Nominations for committee members must be received by the Secretary at least two days before the A.G.M.
5.3 The committee shall have the power to buy such articles, and do such things as may be necessary to achieve the objects of the orchestra.
5.4 The committee shall have power to co-opt such persons it considers appropriate to assist in its work from time to time and to form such sub-committees as It may consider necessary, providing always that any such sub-committee shall report all acts and proceedings back to the committee as soon as possible.
5.5 If deemed advisable, the committee shall have power to appoint section principals.
5.6 A quorum at a meeting of the committee shall be four of its members.
5.7 The Chairman shall take the chair at all meetings of the committee or general meetings of the orchestra. If the Chairman cannot be present, the Vice-Chairman who may be elected at the A.G.M. is to take the chair. In the absence of the Chairman and Vice-Chairman, the meeting shall elect a Chairman by the majority of those present. The Chairman of the meeting shall only be entitled to vote if the votes cast on any motion be equal.
6 MEMBERSHIP
6.1 Membership shall be open to all persons interested in actively furthering the purpose of the orchestra.
6.2 Members shall pay an annual subscription to be determined by the A.G.M. for the current year. The subscription shall be due from the 1st of January.
6.3 Members who have paid the previous year’s subscription shall receive notice of and shall be eligible to vote at general meetings of the orchestra.
6.4 Members shall be responsible for notifying the Secretary of any change in their personal details appearing in the register of members.
6.5 The committee may reprimand, suspend or expel any member who shall:
a) Infringe any rule of the orchestra or whose conduct is unbecoming to a member of the orchestra
b) In the opinion of the committee, and taking into account the views of the Director of Music, be of insufficient standard to meet the requirements of the orchestra at any given time.
6.6 A member dissatisfied with a decision under clause 6.5 shall have a right to appear before and address the committee.
6.7 Members shall be responsible for the insuring and for the safety of their own instruments at all times.
7 GENERAL MEETINGS
7.1 A general meeting may be convened:
a) by the committee or
b) by the Secretary at the written request of at least ten members.
The Secretary shall give 21 days written notice stating the business to be transacted.
7.2 The Annual General Meeting shall be held during the month of February In each year.
7.3 The agenda for the A.G.M. shall be accompanied by a statement of the financial position of the orchestra as certified by an honorary auditor.
7.4 One-half of the members whose names appear in the Register of paid-up members on the preceding 31st of December shall constitute a quorum at any general meeting of the orchestra.
8 FINANCIAL YEAR
The orchestra’s financial year shall he from the 1st January to the 31st December.
9 ALTERATION TO RULES
No alteration to this Constitution shall be made, except by a decision of a general meeting, and no alteration shall be made which would have the effect of causing the orchestra to cease to be a charity at law.
10 WINDING UP
The orchestra may be dissolved by a resolution passed by a two-thirds majority at a general meeting, and implemented by the committee, so that any assets belonging to the orchestra following the payment of all outstanding debts, shall be donated to such charitable institution or institutions having objects similar to some or all of the objects of the orchestra, as the orchestra may determine and if, and in so far as effect cannot be given to this provision, then to some other charitable purpose.
